Legal Agreement: Terms of Service

Why are you signing a membership agreement and not a lease?

Coworking spaces offer more than just space; we also provide an internet connection, kitchen areas, access to a network of professionals, workshops, conferences, and more. Without a doubt, our main business is not just space. Coworking is a full-service hospitality industry. A coworking membership agreement is analogous to a service agreement for accommodation in a hotel. It’s also similar to the membership agreements that are signed in gyms or fitness studios. By selling memberships, Connects Workspace entitles coworkers to use the space and the resources therein, but the space is not leased at any time and remains solely ours.

We continuously strive to ensure that Connects Workspace is a welcoming, comfortable environment for everyone. If you have any concerns, please speak to a member of our staff.

 

Terms of Use

Connects Workspace may provide you with access to office space, workstations, internet access, office equipment, conference space, knowledge resources, and other services (collectively, "Services"). The Services are subject to the following Terms and Conditions (T&C) at all times. Connects Workspace reserves the right to update the T&C at any time.

Connects Workspace membership does not create a tenancy but a prepaid usage license to use the provided amenities on a recurring or casual basis. Payment of membership fees constitutes acceptance of these Terms of Use.

Participation in or Use of Services

You acknowledge that you are participating in or using the Services at your own free will and decision. You acknowledge that Connects Workspace does not have any liability with respect to your access, participation in, use of the Services, or any loss of information resulting from such participation or use.

Open Space and Open Ceilings

Connects Workspace operates on a ‘good neighbor’ policy: self-awareness of how your noise level, tone, or other behaviors may affect those around you creates a positive environment for everyone.

The nature of shared open spaces and offices with open ceilings is such that there will be background noise. To ensure our shared spaces remain conducive work environments, you agree to keep noise levels no louder than a conversational tone.

While you are welcome to be on phone or video calls in the open space, you must use headphones or similar so that the other side of the conversation is not audible to others. Meetings and calls should not be held on speakerphone.

If your noise level becomes a distraction to other members, Connects Workspace reserves the right to ask you to book a conference room; work with you to identify another membership option or office with more sound protection; or, in rare cases, determine that our space is no longer a good fit for your business.

Invoicing and Payment

Membership is automatically invoiced each month in advance and payment is required on the date specified in the invoice. Any variable charges that may have been incurred during the previous period, such as copier and conference room usage, are also invoiced and due upon receipt.

Payment for casual usage is due when the usage is booked or requested, unless other arrangements have been made with Connects Workspace.

Reimbursements will be credited to the member’s account and this reimbursement credit will be automatically applied to future invoices. If a refund is requested, it may be subject to a 10% fee to compensate for merchant processing fees and staff assistance.

Credit card payments are subject to a 2% processing fee. ACH payments have no fee.

Conference Rooms

Conference rooms have a 24-hour cancellation policy and a “no-show” policy. If a cancellation is requested less than 24 hours before the booking begins, or if the member does not use the conference room during the time booked, no refund will be issued for a paid booking; if the booking was made using account credit, the credit will be forfeited and a $20 fee incurred.

Renewal and Termination

These Terms of Use are automatically renewed at the end of each period. Virtual Office, Coworking, and Reserved Desk memberships renew at the current market rate. Private Office memberships renew with a 5% annual increase.

Virtual Office, Coworking, and Reserved Desk memberships require 30 days’ written notice to cancel. Termination shall be in effect as of the end of the following period.

Private Office memberships have a minimum term specified in the Private Office Addendum. Following the end of the minimum term, membership is automatically renewed monthly and requires 30 days’ written notice to cancel. In the case of a membership for two or more offices, 60 days’ written notice is required.

Written notice of termination must be submitted through the Connects Workspace membership cancellation form. Termination shall be in effect as of the end of the following period. If timely notice of termination is not provided to Connects Workspace, the Membership Period shall continue to the end of the following period and the service fees for that period shall be payable.

Failure to follow T&C can result in non-renewal or early termination. Connects Workspace reserves the right to terminate any Service at any time, immediately and without notice, if you fail to comply with the T&C.  This includes non-payment or violation of the space rules. If this happens, Connects Workspace will refund any amounts paid for unused periods that remain, after deducting any pending charges, on a pro rata basis.

Access Control

All keys or entry cards issued shall remain Connects Workspace’s property at all times. You may not make any copies of keys and/or entry cards or allow anyone else to use them without Connects Workspace’s consent. Any loss must be reported to Connects Workspace immediately and you will be responsible for paying a reasonable fee for replacement keys or cards and for changing locks, if required.

You shall keep Connects secure at all times by re-locking doors that you unlock, not giving door codes to those that are not members of Connects Workspace, and securing the space if you are the last to leave.

Shared Environment

Smoking is strictly prohibited in Connects Workspace, in the Building, and on the Premises in accordance with Golden’s Smoke-Free Ordinance (City Ordinance No. 1985).  You shall not permit members, employees, guests, invitees, or others to smoke in Connects Workspace. This restriction includes the use of all tobacco, marijuana, and vaporizing products.

You shall refrain from producing sounds or smells that disturbs the other occupants and tenants. 

Pet Policy

Unless other arrangements have been made, you shall not keep or allow any animals in Connects Workspace or the Building, other than service animals.

Respect

Connects Workspace is firmly committed to ensuring a positive and professional working environment in which all people are treated with respect and dignity. A truly respectful workspace requires the cooperation and support of each and every member and their guests. Everyone has a responsibility to set a positive example of kind behavior as to not offend, embarrass, or humiliate others, whether deliberately or unintentionally.

Connects Workspace has a zero-tolerance policy for disrespect, bullying, or harassment. If the Connects staff, in their sole discretion, finds that any member or guest has violated this right, their use of the space or membership may be immediately revoked.

 

Membership-Specific Terms

By applying for a membership, you acknowledge the shared nature of coworking spaces and agree to both general Terms of Use and membership-specific terms.

Coworking

  • Coworking memberships are attached to a primary location, considered your home space, where you spend at least 80% of your time. You may flex to open spaces at other locations up to 20% of the time.
  • Coworking members must check in when they arrive to work in the open space at any location.
  • As with all spaces at Connects Workspace, coworking desks operate on a ‘good neighbor’ policy: self-awareness of how your noise level, tone, or other behaviors may affect those around you creates a positive shared environment for everyone.


Reserved Desk

  • Members understand and agree that their personal belongings must be contained to their particular desk. This does not include adjacent walls or additional furniture; any additional artwork or furniture for the shared space will be furnished by Connects.
  • Members understand and agree that keeping noise levels no higher than a conversational tone is essential to a shared workspace.
  • Reserved desks may not be a good fit for businesses whose primary functions require many calls. We include conference room booking credits so you can book private spaces as needed each month.
  • As with all spaces at Connects Workspace, reserved desks operate on a ‘good neighbor’ policy: self-awareness of how your noise level, tone, or other behaviors may affect those around you creates a positive shared environment for everyone.


Private Office

  • The member who completes the application and signs the Terms of Use is considered the primary member. If an office wishes to change the primary member, the new applicant must complete a new Terms of Use.
  • The primary member is responsible for informing Connects of any team member changes. New team members must complete the team member application and onboarding process. Connects must be informed of removed team members for offboarding and access control.
  • Unless other arrangements have been made, Connects Workspace will provide (1) desk and (1) chair per member in the office; you may provide your own furniture in addition to this.
  • Anything not provided by Connects must be removed during move-out. Any furniture left in the office will incur a $100-per-item removal fee.
  • Any damages to the office beyond typical wear-and-tear may incur reasonable charges.

 

Location-Specific Terms

By applying for a membership, you acknowledge the shared nature of coworking spaces and agree to both general Terms of Use and location-specific terms.


Armory Eagle’s Nest

  • The Eagle’s Nest at the Armory is a unique space. Due to the open-ceiling offices and stone walls, sound carries very easily here. The Eagle’s Nest is not a good fit for businesses whose primary functions require many calls or meetings.
  • By selecting a desk or office in the Eagle’s Nest, you understand the nature of the open-concept space is such that there will be background noise. Due to the open-ceiling layout, you will not have a fully private space. You agree to the contract terms with this understanding.


Red Rocks

  • To bring natural light throughout the interior space and to maintain a cohesive aesthetic, Red Rocks Private Offices may not cover their windows or doors. Red Rocks Private Offices may not be used for boxes or stacked storage.
  • Red Rocks Private Office membership fees include a monthly cleaning.
  • Members in Private Offices may apply for a Dog Membership. Red Rocks has a first-come, first-served limited capacity for Dog Memberships and each private office may not apply for more than one dog at a time. The application process includes a behavioral trial, nonrefundable cleaning deposit, and monthly fee. Both dogs and owners must adhere to the Dog Membership terms at all times. Connects Workspace reserves the right to terminate Dog Membership at any time and for any reason.


Idaho Springs

  • To bring natural light throughout the interior space and to maintain a cohesive aesthetic, Idaho Springs Private Offices may not cover their door windows. Idaho Springs Private Offices may not be used for boxes or stacked storage.
  • Members in Private Offices may apply for a Dog Membership. Idaho Springs has a first-come, first-served limited capacity for Dog Memberships and each private office may not apply for more than one dog at a time. The application process includes a behavioral trial, nonrefundable cleaning deposit, and monthly fee. Both dogs and owners must adhere to the Dog Membership terms at all times. Connects Workspace reserves the right to terminate Dog Membership at any time and for any reason.

 

Continued Terms

No Unlawful or Prohibited Use

You will not use the Services for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Services in any manner that could damage, disable, overburden, or impair any Connects Workspace server, or interfere with any other party’s use and enjoyment of any Services.

You may not attempt to gain unauthorized access to any Services, accounts, computer systems, or networks connected to any Connects Workspace server or to any of the Services through hacking, password mining, or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services, nor should you post or download files that you know or should know are illegal or that you have no rights to.

You hereby represent and warrant that you have all requisite legal power and authority to enter into and abide by the terms and conditions of this T&C, and no further authorization or approval is necessary. You further represent and warrant that your participation or use of the Services will not conflict with or result in any breach of any license, contract, agreement, or other instrument or obligation to which you are a party.

Use of Services

You agree that when participating in or using the Services, you will not:

  • Use the Services in connection with contests, pyramid schemes, chain letters, junk email, spamming, spimming, or any duplicative or unsolicited messages (commercial or otherwise);
  • Defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights (such as rights of privacy and publicity) of others;
  • Publish, post, upload, distribute, or disseminate any inappropriate, profane, defamatory, obscene, indecent, or unlawful topic, name, material, or information on or through Connects Workspace servers;
  • Upload, or otherwise make available, any file that contains images, photographs, software, or other material protected by intellectual property laws, including, by way of example, and not as a limitation, copyright or trademark laws (or by rights of privacy or publicity) unless you own or control the rights thereto or have received all necessary consent to do the same;
  • Use any material or information, including images or photographs, which are made available through the services in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party;
  • Upload files that contain viruses, Trojan Horses, Worms, time bombs, candlebots, corrupted files, or any other similar software or programs that may damage the operation of another computer or property of another coworker;
  • Download any file that you know, or reasonably should know, cannot be legally reproduced, displayed, performed, and or/distributed in such manner;
  • Restrict or inhibit any other user from using and enjoying the Services;
  • Violate any code of conduct or other guidelines, which may be applicable for any particular Service (including the Building Rules);
  • Harvest or otherwise collect information about others, including email addresses, without the authorization or consent of the disclosing party;
  • Violate any applicable laws or regulations; or
  • Create false identity for the purpose of misleading others.

Connects Workspace reserves the right at all times to disclose any information about you or your participation in and use of the Services as Connects Workspace deems necessary to satisfy any applicable law, regulation, legal process, or governmental request, or to edit, refuse to post, or to remove any information or materials, in whole or in part, at Connects Workspace’s sole discretion.

Confidentiality

You acknowledge and agree that during your participation in and use of the Services you may be exposed to Confidential Information. “Confidential Information” shall mean all information, in whole or in part, that is disclosed by Connects Workspace or any participant of use of the Services or any employee affiliate, or agent thereof, that is non-public, confidential, or proprietary in nature. Confidential information also includes, without limitation, information about business, sales, operations, know-how, trade secrets, business affairs, knowledge gained through examination or observation of or access to the facilities, computer systems, and/or books and records of Connects Workspace; any analyses, compilations, studies or other documents prepared by Connects Workspace; or otherwise derived in any manner from the Confidential Information that you are obliged to keep confidential or know or has reason to know should be treated as confidential.

Your participation in and/or use of the Services obligates you to:

  • maintain all Confidential Information in strict confidence;
  • not disclose Confidential Information to any third parties;
  • not use the Confidential Information in any way directly or indirectly detrimental to Connects Workspace or any participant in or user of the Services.

All confidential information remains the sole and exclusive property of Connects Workspace or the respective disclosing party. You acknowledge and agree that nothing in this T&C or your participation or use of the Services will be construed as granting any rights to you, by license or otherwise, in or to any Confidential Information or any patent, copyright, or other intellectual property proprietary rights of Connects Workspace or any participant or user of the Services.                 

Disclaimer of Warranties

To the maximum extent permitted by the applicable law, Connects Workspace provides the Services “as is” and with all faults, and hereby disclaims with respect to the services all warranties and conditions, whether express, implied or statutory, including but not limited to: merchantability, fitness for a particular purpose, lack of viruses, accuracy or completeness of responses, results, workmanlike effort, and lack of negligence. There is no warranty, duty, or condition of title, quiet enjoyment, quiet possession, correspondence to description, or non-infringement. The entire risk as to the quality or arising out of participation in or the use of the services remains with you.

Exclusion of Incidental, Consequential, and Certain Other Damages

To the maximum extent permitted by the applicable law, in no event shall Connects Workspace or its subsidiaries (whether or not wholly-owned), affiliates, divisions, and their past, present, and future officers, agents, shareholders, members, representatives, employees, successors, and assigns, jointly and individually, be liable for any direct, special, incidental, indirect, punitive, consequential, or other damages whatsoever (including, but not limited to damages for: loss of profits, loss of confidential or other information, business interruption, personal injury, loss of privacy, failure to meet any duty (including of good faith or of reasonable care), negligence, and any other pecuniary or other loss whatsoever) arising out of or in any way related to the participation in or inability to participate in or use of the services, the provision of or failure to provide services, or otherwise under or in connection with any provision of this agreement, even in the event of the fault, tort (including negligence), strict liability, breach of contract or breach of warranty of Connects Workspace, and even if Connects Workspace has been advised of the possibility of such damages.

Insurance and Limitation of Liability and Remedies

Connects Workspace carries Liability and Business Personal Property insurance. As a member, it is strongly suggested (but not required) that you carry a property insurance policy to cover your own equipment while using our space. That policy may cover your current residence or office as well as the premises of Connects Workspace.

All personal property belonging to a member or any occupant of the space shall be used or stored at Connects Workspace at their own risk. Connects Workspace is not liable for damage, theft, or misappropriation to any personal property brought into the space.

Notwithstanding any damages that you might incur for any reason whatsoever (including, without limitation, all damages referenced above and all direct or general damages), the entire liability of Connects Workspace or its subsidiaries (whether or not wholly-owned), affiliates, divisions, and their past, present and future officers, agents, shareholders, members, representatives, employees, successors, and assigns under any provision of this terms of use and your exclusive remedy for all of the foregoing shall be limited to actual damages incurred by you based on reasonable reliance up to $500.00. The foregoing limitations, exclusions, and disclaimers, including the previous sections, shall apply to the maximum extent permitted by applicable law, even if any remedy fails its essential purpose.

Indemnification

You release and hereby agree to indemnify, defend, and save harmless Connects Workspace and Connects Workspace subsidiaries (whether or not wholly-owned), affiliates, divisions, and their past, present, and future officers, agents, shareholders, members, representatives, employees, successors, and assigns, jointly and individually, from and against all claims, liabilities, losses, damages, costs, expenses, judgments, fines, and penalties based upon or arising out of your negligent actions, errors and omissions, willful misconduct, or fraud in connection with the participation in or use of the Services. You further agree in the event that you bring a claim or lawsuit in violation of this agreement, you shall be liable for any attorney fees and costs incurred by Connects Workspace or its respective officers and agents in connection with the defense of such claim or lawsuit.

Severability

In the event that any provision or portion of this T&C is determined to be invalid, illegal, or unenforceable for any reason, in whole or in part, the remaining provisions of this T&C shall be unaffected thereby and shall remain in full force and effect to the fullest extent permitted by applicable law.
